Position Details
We are looking for a corporate and securities attorney with at least 5-10 years of experience to help expand our corporate practice. This ideal candidate will have experience in corporate, transactional and securities law matters. Candidate will possess excellent communication and writing skills, attention to detail and takes initiative to support our clients. The position offers an excellent opportunity for professional growth in a thriving and accomplished Corporate practice group.
Responsibilities
· Formation and operation of Minnesota, Delaware (and other state) corporations and limited liability companies
· Counseling new companies regarding choice of entity
· Mergers, acquisitions and dispositions
· Private placements, Regulations D offerings, and Federal and state securities law compliance and filings
· Implementation of equity incentive plans including stock options and restricted stock
· Drafting board and stockholder resolutions for various corporate actions
· Counseling directors and executive officers of corporate entities
· Structuring equity allocations to founders and employees of startup companies
· Seed and venture capital financing transactions
· Drafting NDAs, MSAs, Terms of Use, employment agreements, shareholder agreements, buy-sell agreements and other general corporate agreements
· Basic familiarity with recurring tax, employment and intellectual property issues

Compensation
Base compensation will vary based on level of experience and practice specialty. Associate compensation range $150,000-210,000. Associate Attorneys are also eligible for quarterly and/or annual bonus incentives based on performance.

Requirements
· 5-10 years of proven experience in corporate and securities law
· Ability to handle multiple assignments and collaboration within the Corporate and M&A team
· Must have strong legal writing skills, analytical and ability to build relationships
· Excellent negotiation and communication skills
· Licensed to practice law in MN
